Terms of Service

Last updated: 30 October 2026

Draft — pending legal review. It becomes effective once the legal entity details are completed and a lawyer has reviewed it.

Notes for the reviewer

Version 2026-10-30-draft. Effective date: [DATE OF PUBLICATION]. Written for counsel to review; not a vetted contract. Items to check are highlighted:

  • [DECISION] a recommended value is filled in and the owner has not yet confirmed it: governing law and courts for business users (Estonia, Harju County Court, §15); the liability cap (the greater of fees paid in 12 months and EUR 100, §11); an indemnity from business users for uploading a document they had no right to upload (§11); no refund of a period that has started, beyond what the law requires (§10).
  • [COUNSEL] a clause most likely to change: the consumer's withdrawal right and early-start request (§10), liability for consumers (§11), the consumer's law and courts (§15).
  • Details of the company, such as [LEGAL ENTITY NAME], wait for the incorporated company.
  • Not yet true: §10 describes a checkout that does not exist yet (the free beta is the only plan today); §6 has no written internal rule behind it yet; §5 repeats the AI provider's published position on training, not yet checked against the signed agreement.

Before you start: AI can be wrong

VAARIO uses artificial intelligence. It is a drafting and review aid. It does not give legal, financial, tax or any other professional advice, and nothing it produces replaces the judgement of a qualified person who reads the document. Check every result against the document itself before you rely on it (see also the AI acceptable use policy).

1. Who we are and what these terms cover

VAARIO is provided by [LEGAL ENTITY NAME], a private limited company registered in Estonia (registry code [REGISTRY CODE]), [REGISTERED ADDRESS] (“VAARIO”, “we”, “us”). You can reach us at privacy@vaario.app.

These terms are a contract between us and the person or organisation that uses VAARIO (“you”). If you use VAARIO for a law firm, company or other organisation, you accept them on its behalf and confirm that you are authorised to do so.

These terms apply together with the Privacy Policy, the AI acceptable use policy and, where you are a controller of personal data in your documents, the Data Processing Agreement (§7). If they conflict, the Data Processing Agreement prevails on the processing of personal data in your documents, and these terms prevail over the AI acceptable use policy.

2. Who may use VAARIO

VAARIO is built for legal professionals and businesses reviewing contracts in the course of their work. Consumers may use it too — a consumer is a person using VAARIO for purposes outside their trade, business, craft or profession. Where these terms treat the two differently, they say so, and the consumer protections that the law of your country gives you are never reduced by them.

During the beta, access is by invitation: only email addresses we have approved can create an account. We may end the beta, change who is invited, or move to paid plans; we will tell you before any change that affects what you pay (§10).

You must be at least 18 and able to enter into a binding contract.

3. What VAARIO does — and what it does not

VAARIO compares versions of a document, shows the changes, rates their likely impact and writes summaries and answers with the help of artificial intelligence.

VAARIO does not give legal advice. Its ratings, summaries, chat answers and guideline checks are aids to your own review. They can be wrong or incomplete. You remain responsible for every decision you take about a contract, and for checking the result against the documents themselves. Using VAARIO does not create a lawyer–client relationship with us.

You may not use VAARIO to decide disputes. VAARIO may not be used by, or on behalf of, a court, tribunal, arbitral institution or other alternative dispute resolution body to research or interpret facts or law, or to apply the law to facts, when deciding a case. That use would make VAARIO a high-risk AI system under the EU AI Act (Annex III, point 8(a)), which it is not designed or assessed to be.

4. Your account

You sign in with a link sent to your email address, and you may add a second step with an authenticator app (Settings → Security). Keep access to that email account and app secure: anyone who can open them can open your VAARIO account. Tell us straight away at privacy@vaario.app if you think someone else has used your account.

An account is for one person. Do not share it; invite colleagues through the sharing features instead.

5. Documents you upload

You keep every right you have in the documents you upload and in your notes and comments (“your content”). We do not claim any ownership of it.

By uploading a document you confirm that:

  • you have the right to upload it and to have it processed as described here and in the Privacy Policy — including, where it contains personal data of other people (counterparties, signatories, employees named in a contract), a lawful basis under the GDPR for that processing;
  • uploading it does not break a confidentiality obligation, professional secrecy rule or court order that binds you, or you have the consent needed to do so;
  • it is not unlawful content and contains no malware.

You give us permission to store, process and display your content only to provide VAARIO to you and to the people you share it with: extracting its text, comparing versions, sending excerpts to the AI service that rates and summarises changes, and producing exports. We do not use your content to train AI models, and neither does our AI provider (Privacy Policy §4).

We do not ask for special categories of personal data (health, union membership and the like) or criminal-offence data, and we cannot detect them. Contracts sometimes contain them anyway; if yours do, you need a lawful basis for that (Privacy Policy §5). Do not upload state secrets or classified information.

6. Confidentiality

We treat your content as confidential. Only the systems that provide the service process it. Our staff do not open your documents except where you ask us to for support, or where the law requires it — and then we tell you unless the law forbids that. The security measures we apply are described in the Privacy Policy §9.

7. Personal data in your documents

For personal data inside the documents you upload, you are the controller and VAARIO is your processor. The Data Processing Agreement forms part of these terms and governs that processing; you accept it together with these terms. Our current sub-processors are listed on the sub-processors page. A business that needs a signed copy for its compliance file can ask at privacy@vaario.app.

For the data we hold about you as a user (your email, sign-in records, settings), we are the controller, as described in the Privacy Policy.

8. Acceptable use

You must not:

  • use VAARIO in breach of the law or of anyone's rights;
  • try to reach data that is not yours, test or bypass our security, or interfere with the service;
  • use automated means to use VAARIO in a way a person could not, or overload it on purpose;
  • copy, resell or rebuild VAARIO, or use it to build a competing product;
  • use VAARIO in breach of sanctions or export control rules.

The rules that are specific to the AI — forged documents, decisions about people without a human, attacks on the AI, training other models with its output — are in the AI acceptable use policy and are not repeated here.

We may suspend access straight away if this is needed to protect the service, other users or the law, and we will tell you why unless we may not.

9. Availability, limits and changes

VAARIO is a beta. We work to keep it available, but we do not promise that it will be uninterrupted or free of errors, and features may change or be removed. This does not take away any right the law gives you if what we supply does not match what we described.

Some uses have limits — for example a monthly allowance for AI features and a maximum document size. Settings shows your current AI use. We may change limits; we will not lower a paid plan's limits during a period you have already paid for.

10. Prices, payment and cancelling

The beta is free of charge. If we introduce paid plans we will tell you in advance, and you will only pay if you choose to continue on a paid plan.

When you choose a paid plan:

  • VAARIO is the seller. Payment is taken through Stripe, which processes the payment for us.
  • Before you pay you will see the price, the tax added where it applies, how often it renews and how to cancel. Prices include or exclude VAT as the checkout shows. Tax is calculated from your country at checkout.
  • Plans renew automatically for the same period until you cancel. You can cancel in Settings → Plan at any time; the plan then runs to the end of the period you paid for and does not renew.
  • Invoices are issued in the name of [LEGAL ENTITY NAME] and sent to your email address.
  • Refunds. [DECISION] Beyond what the law requires, we do not refund a period that has started.

If you are a consumer you have the right to withdraw from a paid plan without giving a reason within 14 days of the day you subscribe. [COUNSEL]

  • If you want the plan to start straight away, we will ask you at checkout to say so expressly and to confirm that you understand this. If you then withdraw within the 14 days, you pay a proportionate amount for what you used until you told us, and we refund the rest.
  • We will send you confirmation of the contract and of that request by email.
  • To withdraw, write to privacy@vaario.app or use the button in Settings → Plan, saying clearly that you withdraw.

Nothing in this section limits a right to a refund that the law gives you.

11. Liability

Nothing in these terms limits liability that cannot be limited by law, including for intentional misconduct or gross negligence, for death or personal injury, or — if you are a consumer — any liability that consumer law does not allow us to exclude or limit. [COUNSEL]

If you are a consumer, we are liable to you as the law provides, and the limits below do not apply to you.

If you are a business or professional user:

  • we are not liable for indirect or consequential loss, lost profit, lost business or lost opportunity, or for decisions you take relying on VAARIO's output (§3);
  • our total liability arising from these terms in any 12 months is limited to the greater of the fees you paid us in that period and EUR 100. [DECISION]
  • you will defend and compensate us against claims by third parties arising from your uploading a document you had no right to upload (§5). [DECISION]

12. Ending the contract

You may stop using VAARIO and delete your account at any time in Settings → Data. Deleting the account deletes your content, as described in the Privacy Policy §7.

An account that is not used for 30 days is deleted with everything in it, after an email warning 7 days before (Privacy Policy §7).

We may end these terms with 30 days' notice by email, or straight away for a serious breach of §5 or §8. Before an ending that is not your choice, you will be able to export your data (Settings → Data & retention → Export your data), unless the breach makes that unlawful.

13. Changes to these terms

We may update these terms. If a change matters to you, we will tell you in the app before it applies and ask you to accept the new version; you may instead stop using VAARIO and delete your account. The version you accepted and when are recorded with your account.

14. Complaints

Write to privacy@vaario.app. We answer within 30 days. If you are a consumer you may also go to the consumer authority or an alternative dispute resolution body in your country; we are not obliged to use one and will say so if that changes.

15. Law and courts

Business and professional users: these terms are governed by the law of Estonia. The courts of Estonia, with Harju County Court (Harju Maakohus) as the court of first instance, have jurisdiction. [DECISION]

Consumers: these terms are governed by the law of Estonia, but this does not take away the protection of the mandatory rules of the country where you live — in the EU, or in Latin America — and you may bring a claim in the courts of that country. [COUNSEL]

16. Language

These terms may be translated, for example into Spanish. Between business and professional users, the English text prevails. If you are a consumer, the Spanish text applies to you where the law of your country requires the contract to be available in Spanish.

Annex A — Data Processing Agreement

The Data Processing Agreement is Annex A. It covers what GDPR Art. 28(3) requires: subject matter and duration, nature and purpose, types of personal data and data subjects, instructions, confidentiality of personnel, security (Art. 32), sub-processors and prior notice of changes, assistance with data subject rights and breaches, return or deletion at the end, and audits.
